Historically many people
who understand or educate themselves to the risks involved and the potential
returns associated with oil and gas exploration investments have enjoyed
significant returns as well as the tax benefits from their direct working
interest investments in oil and gas exploration. Each investment should be made

financially assume the reservoir risk involved right along with our
investors.
The Securities Exchange Commission defines a class of
investor as an ACCREDITED INVESTOR as defined in part under Rule 501(a) of
Regulation D (Rules 501-508), an Accredited Investor means any person who comes
within any of the following categories, or who the issuer reasonably believes
comes within any of the following categories, at the time of the
investment.
Any natural person whose individual net worth or joint net
worth with that person's spouse, at the time of his purchase exceeds
$1,000,000.00
Any natural person who had an individual income in excess
of $200,000.00 in each of the two most recent years or joint income with that
person's spouse in excess of $300,000.00 in each of those years and has a
reasonable expectation of reaching the same income level in the current
year
Many oil and gas investors do not qualify as Accredited Investors;
however, they are certainly sophisticated and well educated to the risks
involved. In any event, we ask those considering an investment with Domestic
